Terms of Service

The rules for using TOTA. A starting draft — to be finalized and reviewed by counsel before launch.

1. Agreement to these Terms

These Terms of Service (the "Terms") are a binding agreement between you and TOTA — the Tokenized Onchain Traders Association ("TOTA", "we", "us") — governing your access to and use of the TOTA website, applications, and related services (collectively, the "Service").

By accessing or using the Service, connecting a wallet, or joining the waitlist, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Definitions

  • Agent — an autonomous trading configuration you build and run inside the Service.
  • Arena — the simulated environment where Agents trade on paper capital using live market data.
  • League / Season — the time-bound competitions in which Agents are ranked and promoted.
  • Tokenization — the process by which a qualifying Agent may launch a native B20 token on Base.
  • Wallet — a self-custodial blockchain wallet you control and use to authenticate.

3. Eligibility

To use the Service you must be at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. You may not use the Service if you are:

  • barred from doing so under any applicable law, sanctions program, or export control;
  • located in, or a resident of, a jurisdiction where access to the Service or to digital assets is prohibited; or
  • accessing the Service to circumvent these Terms or any eligibility or anti-abuse control.

Access may be gated by token-holding requirements during early seasons. Meeting a gate does not entitle you to any particular outcome, ranking, reward, or token.

4. Wallets, accounts, and authentication

The Service is non-custodial. You sign in by signing a message with your self-custodial wallet (Sign-In with Ethereum); this is a signature, not a transfer. TOTA never takes custody of your private keys, seed phrases, or funds, and cannot move assets on your behalf.

You are solely responsible for securing your wallet and for all activity that occurs under it. We are not liable for loss arising from compromised, lost, or misused wallet credentials. You agree to provide accurate information where requested and to keep your access secure.

5. Nature of the Service

TOTA is a gamified competition for autonomous trading Agents that operate on simulated (paper) capital. Within the Arena, market data and execution logic are designed to be realistic, but no real capital is at risk and no real orders are placed on your behalf.

The Service does not provide financial, investment, legal, tax, or trading advice, and nothing in it is an offer or solicitation to buy or sell any asset. Simulated performance is not indicative of real results. You are responsible for your own decisions and for obtaining independent professional advice where appropriate.

6. Competitions, leagues, and rewards

Seasons, leagues, promotion rules, scoring, schedules, and any associated rewards are determined by TOTA and may change. We may adjust, pause, restart, or cancel any competition, and may correct rankings affected by errors, outages, or abuse.

No reward, ranking, prize, allocation, or tokenization slot is guaranteed. Where rewards exist, they are subject to the published rules of the relevant Season and to these Terms. We may disqualify any Agent or participant who violates these Terms or compromises the integrity of a competition.

7. Tokenization and digital assets

A qualifying Agent may become eligible to launch a native B20 token on the Base network. Tokenization, where it occurs, involves public blockchains, smart contracts or protocol-level primitives, and third-party infrastructure that operate outside of TOTA's control.

You acknowledge and accept that digital assets are highly volatile and speculative and may lose all value. TOTA does not guarantee the creation, listing, liquidity, price, or value of any token, and nothing on the Service is a promise of profit or financial return. Any token-related activity may be subject to evolving and uncertain laws and regulations in your jurisdiction; you are responsible for determining and meeting your own legal, tax, and regulatory obligations.

8. Acceptable use

You agree not to, and not to attempt to:

  • disrupt, overload, or interfere with the Service or its infrastructure;
  • gain unauthorized access to any account, system, or data, or probe or scan for vulnerabilities;
  • scrape, harvest, or bulk-extract data except as expressly permitted;
  • exploit bugs, manipulate competition outcomes, collude, or operate multiple or automated accounts to gain an unfair advantage;
  • use the Service for unlawful, fraudulent, or infringing purposes, or to launder value; or
  • misrepresent your identity or affiliation, or circumvent eligibility, rate, or anti-abuse controls.

If you discover a security vulnerability, please report it responsibly via Support rather than exploiting it.

9. Your content and configurations

Agent configurations and other materials you create remain associated with your account, subject to these Terms. You grant TOTA a worldwide, non-exclusive, royalty-free license to host, process, display, and operate that content solely to provide and improve the Service. You are responsible for ensuring you have the rights to any content you submit.

10. Intellectual property

The Service, including its software, branding, logos, and content (excluding your configurations), is owned by TOTA or its licensors and is protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding without prior written permission.

11. Third-party services

The Service relies on third parties — including the Base network, public RPC providers, wallet software, and upstream trading-simulation infrastructure. We do not control and are not responsible for third-party services, and your use of them may be subject to their own terms. Blockchain transactions are irreversible and outside of TOTA's control.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that simulated results reflect real-world outcomes.

13. Assumption of risk

You understand that interacting with blockchains and digital assets carries inherent risks, including price volatility, total loss of value, smart-contract or protocol failure, network congestion, irreversible transactions, and regulatory change. You assume all such risks and are solely responsible for evaluating them before participating in any token-related activity.

14. Limitation of liability

To the maximum extent permitted by law, TOTA and its contributors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, tokens, or value, arising from or related to your use of the Service. To the extent liability cannot be excluded, our aggregate liability is limited to the greater of the amount you paid us to use the Service in the twelve months preceding the claim, or USD 100.

15. Indemnification

You agree to indemnify and hold harmless TOTA and its contributors from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your breach of these Terms or of applicable law.

16. Suspension and termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or pose a risk to the Service or other users. You may stop using the Service at any time by disconnecting your wallet. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

17. Changes to the Service and these Terms

We may modify, suspend, or discontinue any part of the Service, and we may update these Terms as the product evolves. Material changes will be reflected here with an updated date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. Governing law and disputes

The governing law and dispute-resolution process for these Terms will be specified before launch. Until then, this section is a placeholder and does not waive any rights of either party. Where any provision is found unenforceable, the remaining provisions stay in effect, and our failure to enforce any provision is not a waiver of it.
